    It’s like the AppStore, but humans, instead of an App, there is a Specialist. Enabling direct and instant communication through messages with your customers, fans, followers, and patients.

  • How can someone be there?
    Apply and fill the form, once approved, set your price, duration, availability, and share your URL. That’s it. Anyone can contact you in the world, privately, without exchanging contact information.

  • Who can become a Specialist?
    Anyone legally allowed to work in his country.

  • How much do we take?
    We will take 4.5% off every session. The % fee that the payment gateway takes will be deducted from your session payment.

  • How does the information is handled?

    • Who is Hal?
      Anyone can be a Hal by applying to BECOME ONE.

    • But can I know who it is?
      No. Hal doesn’t know who you are, and you don’t know who Hal is.

      Everything any human can do online with maximum resources. Search something you need, order things for you and everything you may need. Just don’t ask Hal out on a date or to buy you stuff. Not for now anyway!
    • Why would I pay for Hal when I have Siri or Alexa for free?
      Do you really use Siri for something better than a reminder or a call?

    • Ok, so how does Hal work?
      Hal is a system that works with real people that get paid for all the answers they give you. Everything you ask is assigned to a random Hal that will help you until you are satisfied. And when you already have what you were looking for, you can archive your information in your account so you will be able to access it anytime you want, if need be.

    • Great, and where does the money that I pay, go?
      We need to pay for the servers, so 10% of everything goes to expenses, the 90% of the remaining money goes back to all the Hal collaborators around the world, so they will be happy helping you.

    • Can I cancel my subscription?
      Yes, you can do it whenever you want, but you will lose a friend 😉

    • If I need something, why don’t I just Google it?
      Sure, you could, or you can just ask Hal, that’s why you will pay a monthly subscription. This is about someone helping you. Doing anything for you online. Making a better search, recommend something really good to your friends, and of course, Hal doesn’t work and never will work with paid results, Hal will give you the best they can as if the search is done for their own interest, because in fact it will be.

    We want Hal to be enjoyable and safe for everyone. These ground rules are designed to ensure that users and Hal Assistants have a five-star experience when using Hal. Please take a moment to read them. Because whether you’re a user trying to get some help — or a partner wanting to earn money as a Hal Assistant — your behavior matters.


    – Respect each other
    Treat your fellow users and Hal Assistants as you would like to be treated yourself: with respect. Always try to reply quickly because nobody likes to wait. Most important of all, remember that when you use Hal you will talk people who may think different differently from you. Please respect those differences. We want everyone to feel welcome when they use Hal.

    – Give users and Hal Assistants some personal space
    We all value our personal space and privacy. It’s OK to chat with other people. But please don’t flirt with other people. As a reminder, Hal has a no sex rule, which translates to no sexual misconduct with Hal Assistants (or fellow users) via ANY means, including but not limited to verbal innuendo or sexual overtones, any sexual pictures or videos or any material that may be construed as a sexual overtone with a Hal or a fellow user.

    – Feedback makes us all better
    Whether you are a user or Hal Assistant, please rate your session at the end of a conversation. Honest feedback helps ensure that everyone is accountable for their behavior. This accountability creates a respectful, safe environment for both users and Hal Assistants. And if something happens during a session, make sure to report it by tapping “Help” in the app so that our customer support team can follow up. The guidelines below help explain some of the specific kinds of behavior that may cause you to lose access to Hal as a user or a Hal Assistant. 

    HOW USERS CAN LOSE ACCESS TO HAL – US ONLY
    This policy helps explain the kinds of behavior that may lead users to lose access to Hal. Ensuring a respectful, safe environment for all Hal Assistants and users is paramount. The way you behave while using Hal can have a big impact on the safety and comfort of Hal Assistants. Courtesy matters. That’s why you are expected to exercise good judgment and behave decently when using Hal — just as you would in any public place.

    The following is an incomplete list that demonstrates how a user could lose access to Hal:
    • Flirting with the Hal Assistant. As our community guidelines make clear, you cannot flirt with other people within the Hal app. As a reminder, Hal has a no sex rule, which translates to no sexual misconduct with Hal Assistants (or fellow users) via ANY means, including but not limited to verbal innuendo, any sexual pictures or videos or any material that may be construed as a sexual overtone with a Hal or a fellow user.
    • Use of inappropriate and/or abusive language or gestures. Users are strictly prohibited from asking overly personal questions, using verbal threats, and/or making comments or gestures that are aggressive, sexual, discriminatory or disrespectful in any way. Since Hal operates as an online forum, this can include improper use of emojis to communicate an abusive or inappropriate action that could be construed as aggressive, sexual, discriminatory or disrespectful.
    • Breaking the local law while using Hal. Users are strictly prohibited from asking Hal Assistants to break local laws such as using Hal to commit a crime, including but not limited to the purchase of illegal drugs, human trafficking, illegal purchases of alcohol, purchase of firearms or weaponry, any acts of violence or the exploitation of children, sexual or otherwise.


    Once we are made aware of this type of problematic behavior, we will contact you in order to investigate further. Depending on the nature of the concern, we may put a hold on your account during our investigation until a decision is reached. If the issues raised are found to be in violation of any of the aforementioned, or put Hal, its users or any persons, known or unknown at risk, or you refuse to cooperate, you may lose access to Hal. Any behavior involving violence, sexual misconduct, harassment, discrimination, or illegal activity while using Hal can result in the immediate loss of access to your account. Additionally, when law enforcement is involved, we will cooperate with their investigation in accordance with our Law Enforcement Guidelines.


    Terms of Use
    As a user, you agree to our Terms of Use when you sign up for your account. We may take action against you for violating these terms, including permanently closing your account. For example, the failure to maintain accurate, complete, and up-to-date account information, including having an invalid or expired payment method on file, allowing a person who does not meet the minimum age requirement to use your account while unaccompanied, or if you actually do not meet that age requirement yourself, are all events that put your account at risk.


    – Firearms Ban
    Hal prohibits users and Hal Assistants from asking or requesting firearms in a session while using the Hal app. If you violate Hal’s firearms prohibition policy, you may lose access to Hal.

    – Discrimination
    Hal has a zero-tolerance policy towards discrimination of any kind. This means you will lose access to your account if you are found to have discriminated against Hal Assistants or other users based on their race, color, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, age or any other characteristic protected under applicable law.

    – Fraud or Illegitimate Behavior
    Fraudulent or illegitimate behavior undermines the trust on which Hal is built. We may deactivate any account(s) associated with this type of activity, including: abusing promotions; collusion between user and Hal Assistant; disputing fees for fraudulent or illegitimate reasons; or duplicate accounts. 

    HOW Hal ASSISTANTS CAN LOSE ACCESS TO Hal – US ONLY
    If you are a Hal Assistant, and your account is temporarily blocked or deactivated, it limits your ability to earn income. That’s why we believe it is important to have clear policies that explain the circumstances in which you may be denied access to Hal; how (if at all) you can use the app again; and if you can appeal these decisions. There will always be unforeseen events that may ultimately lead to you losing access to your Hal Assistant account — and we’ll update this policy regularly — but the following are sufficient cause for Hal to take action: they include but are not limited to quality, safety, fraud and discrimination.

    – Quality
    Users who use Hal expect their Hal Assistants be courteous and professional. The higher the quality of the service, the more users will subscribe with their requests, which in turn means more opportunities for Hal Assistants to earn money. Poor service has the opposite effect over time. There are several ways we measure Hal Assistant quality, with the most important being Star Ratings.

    – Star Ratings
    After every session, Hal Assistants and users are able to rate each other on a scale of one to five stars on how the session went. This two-way system holds everyone accountable for their behavior. Accountability helps create a respectful, safe environment for both Hal Assistants and users. Hal Assistants can see their current rating in the Ratings tab of the Hal Staff app.

    How is my rating as a Hal Assistant calculated?  Your rating is based on an average of the number of post-sessions stars users gave you (from 1 to 5 stars), up to your last 500 rated sessions or the total number of rated questions you’ve taken, if less than 500.

    The easiest way to keep your average rating high is to provide good service on every session. Hal Assistants using Hal typically provide excellent service, so most sessions run smoothly. But we know that sometimes a session doesn’t go well—that’s why we only look at your average rating over your most recent 500 sessions (or your total number of rated sessions count, if under 500). This gives you the chance to improve over time.

    What leads to you losing access to your account?  There is a minimum average rating in each city. This is because there are cultural differences in the way people in different cities rate each other. We will alert you over time if your rating is approaching this limit, and you’ll also get information about quality improvement courses that may help you improve. However, if your average rating still falls below the minimum after multiple notifications, you will lose access to your account. We may allow you to regain access to your account if you can provide proof that you completed one of these quality improvement courses.

    – Acceptance Rates
    High acceptance rates are a critical part of reliable, high-quality service, but not accepting questions or requests does not lead to permanent loss of your account. Consistently accepting questions or requests helps maximize earnings for Hal Assistants and keeps the system running smoothly. We know that sometimes things come up that prevent you from accepting every session request, or you may want to take a break. However, not accepting session or requests also causes delays and degrades the reliability of the system. If you don’t want to accept questions or requests, we ask that you simply log off.
    If you consistently decline session requests, we will assume you do not want to accept more questions and you may be logged out of the app.

    – Safety
    Hal uses technology to keep Hal Assistants and users safe, to include saving all conversations in order to use that quality control and adherence to the Hal guidelines set forth. This process is supported by a robust system of pre-screenings of Hal Assistants. We also have a dedicated incident response team on call 24/7 to investigate safety incidents.

    Actions that threaten the safety of Hal Assistants and/or users will be investigated and, if confirmed, lead to permanent deactivation of your account. 


    The following is an incomplete list that demonstrates how a Hal Assistant could lose access to Hal:
    • Use of inappropriate and abusive language or gestures. For example, asking overly personal questions, using verbal threats, and making comments or gestures that are aggressive, sexual, discriminatory, or disrespectful.
    • Flirting with users. As our community guidelines make clear, you should not flirt with other people in a session. As a reminder, Hal has a no sex rule, which translates to no sexual misconduct with Hal Assistants (or fellow users) via ANY means, including but not limited to verbal innuendo, any sexual pictures or videos or any material that may be construed as a sexual overtone with a Hal or a fellow user. 
    • Unwanted contact with users after a session is over. For example, texting, calling, or visiting someone in person after sessions has been completed.
    • Breaking the local law while using Hal. Breaking local laws; and using Hal to commit a crime, including drug and human trafficking or the sexual exploitation of children.


    What leads to you losing access to your account?  If we are made aware of this type of problematic behavior, we may contact you so we can investigate them. Depending on the nature of the concern, we may put a hold on your account during our investigation. If the issues raised are serious or a repeat offense, or you refuse to cooperate, you may lose access to Hal. Any behavior involving violence, sexual misconduct, harassment, discrimination, or illegal activity while using Hal can result in the immediate loss of your account. Hal will also deactivate the account of any Hal Assistant who receives several or serious complaints of poor, unsafe, or distracted while using the Hal app. Additionally, when law enforcement is involved, we will cooperate with their investigation in accordance with our Law Enforcement Guidelines.

    – Zero Tolerance for Drugs and Alcohol
    Hal does not tolerate the use of drugs or alcohol by partners while working.
    What leads to you losing access to your account?  The account of any Hal Assistant found to be under the influence of drugs or alcohol while using the Hal app will be permanently deactivated. Hal may also deactivate the account of any Hal Assistant who receives several unconfirmed complaints of drug or alcohol use.

    – Compliance with the Law
    We expect Hal Assistants using the Hal app to act in compliance with all relevant state, federal and local laws and the rules at all times. This includes meeting the regulatory requirements for-hire Hal Assistants in your area.
    What leads to you losing access to your account?  Hal may permanently deactivate your account for activities such as: engaging in illegal activity while using the Hal app.

    – Background Checks
    All Hal Assistants who choose to use the Hal app are required to undergo a screening process, like background checks, to ensure safety and compliance with our criteria.
    What leads to you losing access to your account?  We will permanently deactivate a Hal Assistant’s account if a background check uncovers a violation of Hal’s safety standards or of other criteria required by local regulators.

    – Fraud
    Fraudulent activity undermines the trust on which Hal is built. That’s why we are constantly on the lookout for fraud by users and Hal Assistants who are gaming our systems.

    What leads to you losing access to your account?  We will deactivate any account or accounts associated with fraudulent activity, which may include: deliberately not answering questions of a user, including but not limited to provoking users to cancel; creating “dummy” user or Hal Assistant accounts for fraudulent purposes; claiming fraudulent fees or charges.

    – Accurate Personal Information
    The Hal app is designed to not give users identifying information about Hal Assistants. Inaccurate or outdated information creates confusion among users and can diminish their experience with Hal.
    What leads to you losing access to your account?  We will deactivate your account for activities such as: providing Hal with inaccurate information; allowing someone else to use your account.

    – Discrimination
    Hal’s mission is to connect users to reliable information, everywhere for everyone. We have a zero-tolerance policy towards discrimination of any kind at Hal.
    What leads to you losing access to your account?  It is unacceptable to refuse to provide services based on characteristics like a person’s race, color, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, age or any other characteristic protected under relevant federal, state, or local laws. Actions like these may result in permanent deactivation of your account. In addition, it is not acceptable to discriminate on the basis of a user’s questions.

    – Reinstatement After Deactivation
    If your account has been deactivated for quality reasons like low star ratings, you may have the opportunity to get reinstated if you provide proof that you’ve successfully taken a quality improvement course(s) offered by third party experts, available in most U.S. cities today. We are also exploring whether these experts provide the option of an equivalent online course, so that this is available to Hal Assistants everywhere in the United States at a low cost. In addition, we are exploring ways to create an appeal process for the most contentious cases. We will update this document as and when we have that process in place.

    Welcome to Hal (“Hal,” “we,” or “us”). This page explains the terms by which you may use our online and/or mobile services, website, and software provided on or in connection with the service (collectively the “Services”). By accessing or using the Service, you signify that you have read, understood, and agree to be bound by this Terms of Use Agreement (“Agreement”) and to the collection and use of your information as set forth in the Hal Privacy Policy, whether or not you are a registered user of our Services. Users of our Service must also agree to our Acceptable Use Policy. Hal reserves the right to make unilateral modifications to these terms and will provide notice of these changes as described below. This Agreement applies to all visitors, users, and others who access the Services (“Users”).

    PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION.     A. Eligibility

    This is a contract between you and Hal. You must read and agree to these terms before using the Services. If you do not agree, you may not use the Services. You may use the Services only if you can form a binding contract with Hal, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations.

    You must be at least 13 years of age (or the age of legal majority in your jurisdiction if different than 18) to be eligible to use the Services. Any use or access to the Services by anyone under 13 is strictly prohibited and in violation of this Agreement. Some requests may not be made via the Service by users under 18 or 21 years of age. In certain instances, Hal may require you to provide proof of identity to create your account, or to access or use the Services, and you acknowledge and agree that you may be denied access or use of the Services if you refuse to provide such proof. The Services are not available to any Users previously removed from the Services by Hal.

    B. Hal Services

    Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use the Services for your personal, noncommercial use only and as permitted by the features of the Services. Hal reserves all rights not expressly granted herein in the Services and the Hal Content (as defined below). Hal may terminate this license at any time for any reason or no reason.

    C. Hal Accounts

    Your Hal account gives you access to the services and functionality that we may establish and maintain from time to time and in our sole discretion. We may maintain different types of accounts for different types of Users. By connecting to Hal with a third-party service, you give us permission to access and use your information to provide you a great service from your request as permitted by that service, and to store your log-in id for that service.

    You may never use another User’s account without permission. When creating your account, you should save your login details to access your account from another device.

    You are solely responsible for the activity that occurs on your account, and you must keep your account secure. You must notify Hal immediately of any breach of security or unauthorized use of your account. Hal will not be liable for any losses caused by any unauthorized use of your account.

    We won’t use your information (phone number or email address) to send you Services-related notices or ads. If you want to receive emails from us you should subscribe to our newsletter.

    D. Services Rules

    You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated “scraping”; (ii) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Services (except that Hal grants the operators of public search engines revocable permission to use spiders to copy publically available materials from http://halisback.com for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (iii) transmitting spam, chain letters, or other unsolicited email, SMS, or other messages; (iv) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Services; (v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; (vi) uploading invalid data, viruses, worms, or other software agents through the Services; (vii) collecting or harvesting any personally identifiable information, including account names, from the Services; (viii) using the Services for any commercial solicitation purposes; (ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity; (x) interfering with the proper working of the Services; (xi) accessing any content on the Services through any technology or means other than those provided or authorized by the Services; or (xii) bypassing the measures we may use to prevent or restrict access to the Services, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.

    We may, without prior notice, change the Services; stop providing the Services or features of the Services, to you or to Users generally; or create usage limits for the Services. We may permanently or temporarily terminate or suspend your access to the Services without notice and liability for any reason, including if in our sole determination you violate any provision of this Agreement, or for no reason. Upon termination for any reason or no reason, you continue to be bound by this Agreement.

    You are solely responsible for your interactions with other Users. We reserve the right, but have no obligation, to monitor disputes between you and other Users. Hal shall have no liability for your interactions with other Users, or for any User’s action or inaction.

    1. Mobile Software

    A. Mobile Software. We may make available software to access the Services via a mobile device (“Mobile Software”). To use the Mobile Software you must have a mobile device that is compatible with the Mobile Software. Hal does not warrant that the Mobile Software will be compatible with your mobile device. You may use mobile data in connection with the Mobile Software and may incur additional charges from your wireless provider for these services. You agree that you are solely responsible for any such charges. Hal hereby grants you a non-exclusive, non-transferable, revocable license to use a compiled code copy of the Mobile Software for one Hal account on one mobile device owned or leased solely by you, for your personal use.

    You may not: (i) modify, disassemble, decompile or reverse engineer the Mobile Software, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the Mobile Software to any third party or use the Mobile Software to provide time sharing or similar services for any third party; (iii) make any copies of the Mobile Software; (iv) remove, circumvent, disable, damage or otherwise interfere with security-related features of the Mobile Software, features that prevent or restrict use or copying of any content accessible through the Mobile Software, or features that enforce limitations on use of the Mobile Software; or (v) delete the copyright and other proprietary rights notices on the Mobile Software. You acknowledge that Hal may from time to time issue upgraded versions of the Mobile Software, and may automatically electronically upgrade the version of the Mobile Software that you are using on your mobile device. You consent to such automatic upgrading on your mobile device, and agree that the terms and conditions of this Agreement will apply to all such upgrades. Any third-party code that may be incorporated in the Mobile Software is covered by the applicable open source or third-party license EULA, if any, authorizing use of such code. The foregoing license grant is not a sale of the Mobile Software or any copy thereof, and Hal or its third-party partners or suppliers retain all right, title, and interest in the Mobile Software (and any copy thereof). Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in this Agreement, is void. Hal reserves all rights not expressly granted under this Agreement.

    If the Mobile Software is being acquired on behalf of the United States Government, then the following provision applies. The Mobile Software will be deemed to be “commercial computer software” and “commercial computer software documentation,” respectively, pursuant to DFAR Section 227.7202 and FAR Section 12.212, as applicable. Any use, reproduction, release, performance, display or disclosure of the Services and any accompanying documentation by the U.S. Government will be governed solely by these Terms of Services and is prohibited except to the extent expressly permitted by these Terms of Services. The Mobile Software originates in the United States, and is subject to United States export laws and regulations. The Mobile Software may not be exported or re-exported to certain countries or those persons or entities prohibited from receiving exports from the United States. In addition, the Mobile Software may be subject to the import and export laws of other countries. You agree to comply with all United States and foreign laws related to use of the Mobile Software and the Services.

    B. Mobile Software from iTunes.

    The following applies to any Mobile Software you acquire from the iTunes Store (“iTunes-Sourced Software”): You acknowledge and agree that this Agreement is solely between you and Hal, not Apple, and that Apple has no responsibility for the iTunes-Sourced Software or content thereof. Your use of the iTunes-Sourced Software must comply with the App Store Terms of Services. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the iTunes-Sourced Software. In the event of any failure of the iTunes-Sourced Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the iTunes-Sourced Software to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the iTunes-Sourced Software, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by this Agreement and any law applicable to Hal as provider of the software. You acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the iTunes-Sourced Software or your possession and/or use of the iTunes-Sourced Software, including, but not limited to: (i) product liability claims; (ii) any claim that the iTunes-Sourced Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation; and all such claims are governed solely by this Agreement and any law applicable to Hal as provider of the software. You acknowledge that, in the event of any third-party claim that the iTunes-Sourced Software or your possession and use of that iTunes-Sourced Software infringes that third party’s intellectual property rights, Hal, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by this Agreement. You and Hal acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this Agreement as relates to your license of the iTunes-Sourced Software, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement as relates to your license of the iTunes-Sourced Software against you as a third-party beneficiary thereof.

    1. Our Proprietary RightsThe Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music (the “Hal Content”), and all Intellectual Property Rights related thereto, are the exclusive property of Hal and its licensors. Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Hal Content. Use of the Hal Content for any purpose not expressly permitted by this Agreement is strictly prohibited.

    You may choose to or we may invite you to submit comments or ideas about the Services, including without limitation about how to improve the Services or our products (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Hal under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, Hal does not waive any rights to use similar or related ideas previously known to Hal, or developed by its employees, or obtained from sources other than you.

    1. Paid Services

    A. Billing Policies. Certain aspects of the Services may be provided for a fee or other charge. Hal may add new services for additional fees and charges, add or amend fees and charges for existing services, at any time in its sole discretion. Any change to our pricing or payment terms shall become effective in the billing cycle following notice of such change to you as provided in this Agreement.

    B. No Refunds.

    You may cancel your Hal account or any requests at any time; however, you are not entitled to any refund for cancellation. Hal provides refunds for purchases only in Hal’s sole discretion. In the event that Hal suspends or terminates your account or this Agreement, you understand and agree that you shall receive no refund or exchange for any Hal Property, any content or data associated with your account, or for anything else, except if, in Hal’s sole discretion, Hal provides you a refund or exchange.

    C. Payment Information;

    Taxes. All information that you provide in connection with a purchase or transaction or other monetary transaction interaction with the Services must be accurate, complete, and current. You agree to pay all charges incurred by users of your credit card, debit card, or other payment method used in connection with a purchase or transaction or other monetary transaction interaction with the Services at the prices in effect when such charges are incurred. You will pay any applicable taxes, if any, relating to any such purchases, transactions or other monetary transaction interactions.

    1. Privacy

    We care about the privacy of our Users. You understand that by using the Services you consent to the collection, use and disclosure of your personally identifiable information and aggregate data as set forth in our Privacy Policy, and to have your personally identifiable information collected, used, transferred to and processed in the United States.

    1. Security

    Hal cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

    1. Third-Party Links and Information

    The Services may contain links to third-party materials that are not owned or controlled by Hal. Hal does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website or service from the Services, you do so at your own risk, and you understand that this Agreement and Hal’s Privacy Policy do not apply to your use of such sites. You expressly relieve Hal from any and all liability arising from your use of any third-party website, service, or content. Additionally, your dealings with or participation in promotions of advertisers found on the Services, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that Hal shall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.

    1. Indemnity

    You agree to defend, indemnify and hold harmless Hal and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Services, including any data or content transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy, Intellectual Property Rights, and any rights of Third Party Providers; (iv) your violation of any applicable law, rule or regulation; (v) any content that is submitted via your account including without limitation misleading, false, or inaccurate information; (vi) your willful misconduct; or (vii) any other party’s access and use of the Services with your unique username, password or other appropriate security code.

    1. No Warranty

    THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, HAL, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; THAT ANY REQUESTS WILL BE MET SATISFACTORILY OR AT ALL; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.     TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAL, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL HAL BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAL ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF REQUESTS OR CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY REQUESTS OR CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; (VII) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY; AND/OR (VIII) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY PROVIDER. IN NO EVENT SHALL HAL, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO HAL HEREUNDER OR $100.00, WHICHEVER IS GREATER.

    THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF HAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

    SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

    The Services are controlled and operated from facilities in the United States. Hal makes no representations that the Services are appropriate or available for use in other locations. Those who access or use the Services from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You may not use the Services if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government. Unless otherwise explicitly stated, all materials found on the Services are solely directed to individuals, companies, or other entities located in the United States.

    1. Governing Law, Arbitration, and Class Action/Jury Trial WaiverA.

    Governing Law. You agree that: (i) the Services shall be deemed solely based in California; and (ii) the Services shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than California. This Agreement shall be governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles. The parties acknowledge that this Agreement evidences a transaction involving interstate commerce. Notwithstanding the preceding sentences with respect to the substantive law, any arbitration conducted pursuant to the terms of this Agreement shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16). The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of the federal and state courts located in Santa Clara County, California for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights, as set forth in the Arbitration provision below, including any provisional relief required to prevent irreparable harm. You agree that Santa Clara County, California is the proper forum for any appeals of an arbitration award or for trial court proceedings in the event that the arbitration provision below is found to be unenforceable.

    B. Arbitration.

    READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM HAL. For any dispute with Hal, you agree to first CONTACT at dave@halisback.com and attempt to resolve the dispute with us informally. In the unlikely event that Hal has not been able to resolve a dispute it has with you after sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief as provided below) arising out of or in connection with or relating to this Agreement, or the breach or alleged breach thereof (collectively, “Claims”), by binding arbitration by JAMS, under the Optional Expedited Arbitration Procedures then in effect for JAMS, except as provided herein. JAMS may be contacted at www.jamsadr.com. The arbitration will be conducted in Santa Clara County, California, unless you and Hal agree otherwise. If you are using the Services for commercial purposes, each party will be responsible for paying any JAMS filing, administrative and arbitrator fees in accordance with JAMS rules, and the award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses. If you are an individual using the Services for non-commercial purposes: (i) JAMS may require you to pay a fee for the initiation of your case, unless you apply for and successfully obtain a fee waiver from JAMS; (ii) the award rendered by the arbitrator may include your costs of arbitration, your reasonable attorney’s fees, and your reasonable costs for expert and other witnesses; and (iii) you may sue in a small claims court of competent jurisdiction without first engaging in arbitration, but this does not absolve you of your commitment to engage in the informal dispute resolution process. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this Section shall be deemed as preventing Hal from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, Intellectual Property Rights or other proprietary rights.

    C. Class Action/Jury Trial Waiver.

    WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED THE SERVICE FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND HAL ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

    1. General

    A. Assignment. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Hal without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

    B. Notification Procedures and Changes to the Agreement.

    Hal may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by Hal in our sole discretion. Hal reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement. Hal is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us. Hal may, in its sole discretion, modify or update this Agreement from time to time, and so you should review this page periodically. When we change the Agreement in a material manner, we will update the ‘last modified’ date at the bottom of this page. Your continued use of the Services after any such change constitutes your acceptance of the new Terms of Use. If you do not agree to any of these terms or any future Terms of Use, do not use or access (or continue to access) the Services.\n

    C. Entire Agreement/Severability.

    This Agreement, together with any amendments and any additional agreements you may enter into with Hal in connection with the Services, shall constitute the entire agreement between you and Hal concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect, except that in the event of unenforceability of the universal Class Action/Jury Trial Waiver, the entire arbitration agreement shall be unenforceable.

    D. No Waiver.

    No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Hal’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
